Here's the solution: First, backup your Windows virtual machine, then upgrade your Mac to Sierra, and then purchase a Parallels 12 upgrade license. Finally, download the setup file for Parallels Desktop 12 from https://parallels.com/directdownload/pd12 and run the same to install the software.

If you purchase an upgrade key and activate it using an older version license, you're essentially upgrading your old license to the new one - these two licenses are, in principle, one single license. Since our licensing policy prohibits using a single license on multiple machines, using an old license (which is already used for an upgrade) on a different machine is a policy violation. So the answer to your question is 'No'.
